All services are provided according to project agreements, proposals, onboarding forms, or subscription plans agreed upon between you and Rise Local.
3. User Responsibilities
You agree to:
- Provide accurate, complete information when engaging our Services
- Maintain the confidentiality of account credentials
- Supply required assets (content, images, access permissions, etc.) in a timely manner
- Use our Site and Services only for lawful purposes
- Not engage in activities that disrupt or harm our systems or platform
You are responsible for all activity conducted under your account.
4. Payment & Billing
4.1 Fees & Billing Cycles
Fees for Services will be outlined in your proposal, agreement, or subscription plan. Recurring marketing or hosting services will be billed monthly unless otherwise stated.
4.2 Late Payments
Failure to pay invoices on time may result in delayed work, suspension of Services, or additional fees.
4.3 Non-Refundable Services
Due to the nature of digital marketing, creative services, and SEO work, all fees paid to Rise Local are non-refundable unless explicitly stated otherwise in writing.
5. Intellectual Property
5.1 Ownership by Rise Local
All materials created by Rise Local—including designs, strategies, campaigns, code, creative assets, and proprietary tools—remain the intellectual property of Rise Local until payment is made in full and ownership transfer is outlined in the project agreement.
5.2 Client-Supplied Content
You represent that any content, images, media, or materials you provide do not infringe on any third-party rights and grant Rise Local permission to use them in performing our Services.
6. Third-Party Services
Our Services may integrate, rely on, or utilize third-party platforms (e.g., Google, Meta, hosting providers, analytics tools). We are not liable for:
- Service interruptions or changes by third-party platforms
- Errors, downtime, or limitations caused by external systems
- Losses resulting from third-party policies or platform restrictions
Your use of third-party services is subject to their own terms and policies.
7. Website Hosting & Security
If you receive hosting or maintenance services from Rise Local:
- We make reasonable efforts to maintain uptime and security but cannot guarantee uninterrupted service
- You are responsible for securing your own login credentials
- We are not liable for outages, hacks, or data loss caused by external attacks, server conditions, or client negligence
Rise Local may perform necessary updates, patches, or migrations at its discretion.
8. Limitation of Liability
To the fullest extent permitted by law, Rise Local is not liable for any:
- Indirect, incidental, or consequential damages
- Loss of revenue, profits, or data
- Issues caused by third-party hosting, platforms, or software
- Actions taken based on client-submitted content or instructions
Total liability is limited to the amount you paid for Services during the six (6) months prior to the claim.
9. No Guarantee of Results
Digital marketing results vary depending on market conditions, competition, algorithm changes, ad policies, and many external factors. Rise Local does not guarantee specific rankings, traffic increases, or revenue outcomes.
10. Termination
We may suspend or terminate Services if you:
- Fail to pay invoices
- Violate these Terms
- Abuse, misuse, or attempt to exploit our Services
- Engage in unlawful or unethical practices
You may cancel ongoing services with written notice per your agreement terms.
11. Privacy Policy
Your use of the Site and Services is also governed by our Privacy Policy, which explains how we collect and use data. By using our Services, you agree to the terms in our Privacy Policy.
12. Modifications to Terms
Rise Local may update or modify these Terms at any time. Changes take effect upon posting, and continued use of the Site or Services constitutes acceptance of the updated Terms.
13. Governing Law
